By registering for, accessing, or using the Helprr Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree, please do not use the Platform.
PART A - GENERAL TERMS (APPLICABLE TO ALL USERS)
A1. Overview
- Helprr Digital Inc. operates a digital marketplace that connects individuals seeking to have tasks completed (“Task Posters”) with independent individuals offering to perform such tasks (“Helpers” or “Task Providers”).
- The Platform enables users to post tasks, submit offers, communicate, process payments via an in-app escrow system (powered by Stripe), and resolve disputes through Helprr’s internal review process.
- References to “Helprr Digital Inc.” refer to the Company operating the Platform. References to “Helprr” (without “Digital”) refer to an individual user performing tasks.
A2. Geographic Scope
- During the initial product launch, Helprr operates solely within Ontario, Canada.
- Users outside the supported area may experience restricted access or service limitations. Helprr Digital Inc. reserves the right to suspend or terminate access where location is unsupported.
A3. Account Eligibility
- Users must be at least 18 years old, provide accurate registration information, and keep their details current.
- Each individual may maintain only one account. Shared or duplicate accounts are prohibited.
- Helprr Digital Inc. may suspend or terminate accounts for violations, suspected fraud, or business necessity.
Users may permanently delete their account at any time through the in-app settings under Profile → Account Information → Delete Account, subject to any applicable legal retention requirements.
A4. Key Definitions
- Task: A specific job or service posted by a Task Poster.
- Offer: A proposal submitted by a Helper (Task Provider) to perform a Task for a stated price and/or conditions.
- Payment System: The in-app payment processing system, powered by Stripe or other approved providers.
- Escrow: The temporary holding of funds by Helprr Digital Inc. while a Task is in progress.
A5. Verification
Helprr Digital Inc. may require users to complete identity verification (e.g., phone, email, government ID, selfie check). Access to certain features or payouts may be restricted until verification is complete.
A6. Payments & Escrow
- All payments must be made through the in-app payment system (the “Payment System”). Off-platform payments are prohibited and may result in suspension or permanent removal.
- Payments and payouts are provided by Stripe and may include payment methods such as Apple Pay or other supported payment providers. By creating or using a payout account, you agree to the Stripe Services Agreement and the Stripe Connected Account Agreement (as updated from time to time). We may share information with Stripe to facilitate payments, compliance screening, and tax reporting.
- Task funds are placed into escrow and are released when - the Poster confirms completion in-app, or the standard release period expires without a timely dispute (see A10 and the Payments, Cancellations & Disputes Policy).
- You authorize Helprr Digital Inc. to withhold, delay, reverse, or set off any payouts as necessary to cover chargebacks, refunds, fines, or other amounts you owe. Helprr Digital Inc. may recover such amounts by deducting them from current or future payouts, charging your saved payment method, or offsetting against funds held in escrow.
A7. Fees & Taxes
Unless otherwise stated at checkout, Task Posters pay the task price plus a payment processing fee of 2.9% + $0.30 per transaction.
Task Providers pay a 5% Service Fee, which is deducted from their payout. This Service Fee covers Helprr’s platform fees.
All fees payable by Task Posters or Task Providers will be clearly displayed before payment is confirmed.
Taxes: Users are responsible for all applicable taxes, including income tax and GST/HST. Where required by law, Helprr Digital Inc. may request tax information (e.g., SIN) from Task Providers and may report payouts to tax authorities.
A8. Prohibited Tasks
Users must not post, offer, or perform any Task that:
- Violates law or regulation;
- Involves adult or escort services;
- Involves weapons, drugs, or stolen property;
- Requires professional licences (e.g., medical, legal, electrical) unless credentials are verified;
- Involves hazardous materials without proper qualifications.
Helprr Digital Inc. may remove listings or accounts violating this clause.
A9. Cancellations & Modifications
- Posters may cancel a Task before an Offer is accepted with no penalty.
- After acceptance, any change to budget, timing, or scope must be agreed within the Platform or via a new Task post.
- Cancellation penalties may apply after Offer acceptance as detailed in the Platform.
- Repeated cancellations or no-shows may result in suspension or removal.

A10. Disputes & Escrow Release
- All disputes must be submitted via the Platform’s Help flow with supporting evidence within 72 hours of the Task being marked “Completed.”
- Helprr Digital Inc’s dispute resolution decision regarding escrow allocation is final for Platform purposes.
- If no dispute is filed, escrow auto-releases at the end of the release period stated in the app.
- If a chargeback occurs after release, Task Provider may debit or reverse payouts and set-off related amounts.
- The standard holding period for funds after Task completion is up to 14 calendar days. Holds may be extended for open disputes or compliance checks.
A11. Risk, Insurance & Liability
Helprr Digital Inc. does not provide or arrange any form of insurance coverage for users, Tasks, property, or personal injury. All users are solely responsible for their own safety, conduct, property, and any insurance they may choose to obtain.
To the maximum extent permitted by applicable law, Helprr Digital Inc. disclaims all liability for any loss, damage, injury, claim, or expense arising out of or in connection with the use of the Platform, Tasks performed, or user interactions, whether direct or indirect.
For any task involving vehicles, transport, ladders/heights, power tools, hazardous materials, or permits, Task Provider must hold all legally required licences/insurance and comply with safety laws. Helprr Digital Inc. does not provide automobile, property, or workers’ compensation insurance.
Helprr Digital Inc.’s total liability, if any, shall in no event exceed the total amount of Service Fees received by Helprr Digital Inc. from the claiming party during the twelve (12) months preceding the event giving rise to the claim. Helprr Digital Inc. shall not be liable for any indirect, incidental, consequential, exemplary, or punitive damages under any circumstances.
Helprr Digital Inc. does not control or supervise the actions of any user, and is not responsible for the quality, timing, legality, or safety of Tasks or user conduct. Users interact at their own risk.
A12. Indemnity
Each user agrees to indemnify and hold harmless Helprr Digital Inc. and its affiliates from any claims, losses, or expenses arising from their use of the Platform, breach of these Terms, or violation of law.
A13. Community Standards
Users must behave respectfully. Harassment, hate speech, or abuse is strictly prohibited.
Reviews must be truthful and based on genuine experience — fake or incentivized reviews may lead to account action. Users must not misuse the Platform, including by sending spam, impersonating others, interfering with system integrity, or attempting to extract source code or data. Any such conduct may result in immediate termination.
Users must not discriminate on the basis of race, colour, ancestry, place of origin, creed, sex, sexual orientation, gender identity or expression, age, marital status, family status, or disability in postings, offers, or reviews.

A14. Account Suspension & Enforcement
- Helprr Digital Inc. may enforce the following progressive schedule:
- 1st violation: Written warning
- 2nd violation (within 6 months): Temporary suspension
- 3rd violation: Permanent ban
- Severe misconduct (fraud, threats, violence) may result in immediate termination.
A15. Privacy & Communications
You consent to receive transactional or service-related messages about your account and tasks. Where applicable, Helprr may request permission to track certain data across other companies’ apps or websites for advertising purposes in accordance with Apple’s App Tracking Transparency (ATT) framework. Tracking will only occur if the user grants permission through their device settings.
A16. Governing Law & Amendments
These Terms are governed by the laws of Ontario and Canada. Helprr Digital Inc. may update these Terms from time to time, and will provide reasonable notice through the Platform or by email. Continued use of the Platform after notice constitutes acceptance of the updated Terms. Acceptance by clicking “Agree” or similar constitutes an electronic signature under Ontario’s Electronic Commerce Act, 2000. Helprr Digital Inc. may retain electronic records of your agreements, communications, and transactions for compliance and audit purposes.
A17. Non-Circumvention
For a period of twelve (12) months from the date of first contact between a Task Poster and a Task Provider through the Helprr Platform, both parties agree not to circumvent the Platform. This means you must not:
Arrange, request, offer, solicit, or accept work directly outside of the Helprr Platform for any task, job, or service that arises from a connection made through Helprr;
Engage in any communication, negotiation, or payment outside the Platform with a user you were introduced to via Helprr for the purpose of avoiding Helprr’s service fees.
A18. User-Generated Content & IP
By submitting or posting content on the Platform, you grant Helprr Digital Inc. a worldwide, royalty-free, transferable, and sublicensable licence to host, use, reproduce, modify, adapt, distribute, display, and promote your profile, reviews, photos, and other materials for the operation and marketing of the Platform. Helprr may remove any content that is unlawful, infringing, misleading, or low quality.
All software, designs, logos, trademarks, text, and data available on the Platform are the exclusive property of Helprr Digital Inc. or its licensors. Users may not copy, distribute, modify, or create derivative works from any part of the Platform without Helprr’s prior written consent.
A19. Ownership of Deliverables
Except for pre-existing IP and open-source components, work product created by a Provider specifically for a Poster under a Task is assigned to the Poster upon full payment. Helprr retains a licence to use non-confidential know-how and portfolio samples unless the Poster reasonably objects in writing.
A20. Background Checks
With your consent, Helprr may obtain background checks through third-party providers for risk-sensitive categories. We do not guarantee the accuracy or completeness of such checks.
A21. Third-Party Services Disclaimer
The Platform may integrate with third-party services (e.g., Stripe, Google Maps, identity verification providers, etc.). Use of payment providers, authentication services, and app-store distribution platforms may also be subject to the terms of those third parties. Helprr is not responsible for any loss, data breach, or performance issues caused by third-party systems. Use of such services is subject to their respective terms.
A22. App Store Distribution terms
If you access the Platform through a mobile application downloaded from an app store such as Apple’s App Store or Google Play, you acknowledge that those platforms are not responsible for the Platform or its content.
You agree that:
• these Terms are between you and Helprr Digital Inc., not with Apple or Google
• Apple and Google have no obligation to provide maintenance or support
• the app stores are third-party beneficiaries of these Terms and may enforce applicable provisions
PART B - TERMS FOR TASK PROVIDERS
B1. Independent Contractor Status
Helpers (Task Provider) are independent contractors who use the Helprr platform to offer services directly to Task Posters. Helprr Digital Inc. provides only a technology platform and does not supervise, manage, or control the work performed.
Nothing in these Terms creates an employment, partnership, or agency relationship. As an independent contractor, you choose which tasks to accept, set your own pricing, provide your own tools, and are responsible for your own taxes, insurance, and compliance with applicable laws. You do not represent or act on behalf of Helprr, and you are not eligible for employment-related benefits.
B2. Onboarding Verification
Helpers (Task Provider) must complete:
- Phone and email verification (OTP)
- Government-issued ID upload
- Selfie face match
- Proof of eligibility to work in Canada
- Valid payout account setup
Payouts will not be released until verification is completed.
B3. Warranties
By accepting a Task, a Helpers (Task Provider) confirms they:
- Are legally permitted to work in Canada;
- Have the skills and tools required;
- Will perform work professionally and per the Task description; and
- Will not send substitutes or companions without consent.
B4. No Substitution
Helpers (Task Provider) may not send others to perform a Task without explicit consent from the Poster via the Platform. Violations may lead to forfeiture of earnings and termination.
B5. Task Execution
Helpers (Task Provider) must keep Task statuses updated (e.g., “In Progress”, “Completed”, etc.) and comply with any evidence requirements such as before/after photos or location check-ins.
B6. Cancellations & No-Shows
Penalty schedule:
- First substantiated late cancellation — warning;
- Second within six months — suspension;
- Third — permanent removal.
Serious conduct issues may result in immediate termination.
B7. Payments & Taxes
Payments are released after the Poster confirms completion or after the holding period expires. Helpers (Task Provider) are responsible for reporting income and paying applicable taxes.

B8. Liability
Helpers (Task Provider) are responsible for damages they cause and must indemnify Helprr Digital Inc. against related claims.
B9. Ratings & Performance
Repeated poor ratings or verified complaints may lead to retraining, restrictions, or removal from the Platform.
PART C - TERMS FOR TASK POSTERS
C1. Task Accuracy
Posters must provide complete, honest, and accurate descriptions, including access details, hazards, and materials.
C2. Identity Check
Before allowing a Task to begin, Task Posters must confirm that the arriving Helpers (Task Provider) name and photo match the app record. If mismatched, the Poster must deny the Task and report via Help.
C3. Payments & Authorizations
By accepting an Offer, Posters authorize payment processing and escrow placement.
Funds will be released upon Poster confirmation or automatically after the release period unless a dispute is filed.
C4. Cancellations
Before Offer acceptance: free cancellation.
After Offer acceptance: cancellation fees may apply. Repeated abuse may result in suspension.

C5. Damage Claims
Posters alleging damage must provide supporting evidence (e.g., photos, timestamps) through the Help feature. Helprr Digital Inc. does not provide insurance coverage and is not responsible for any damage, loss, or injury arising from Tasks performed through the Platform.
All claims will be reviewed in accordance with Helprr Digital’s dispute process, and decisions regarding escrow allocation will be final for Platform purposes.
C6. Reviews
Reviews must be factual, non-abusive, and directly related to Task performance. Violations may result in account actions.
PART D - PLATFORM SAFETY & SECURITY
D1. Help & Dispute Flow
Users should report any issue before, during, or after a Task through the Help button. Helprr Digital Inc. will respond in a reasonable timeframe.
D2. ID Checks
At Task start, the app prompts Posters to confirm the Helper (Task Provider) identity. Posters must either confirm “Helper (Task Provider) Verified” or report an issue.
D3. Evidence & Records
Helprr Digital Inc. may record chats, timestamps, and photos for dispute resolution and safety.
D4. Off-Platform Detection
Helprr Digital Inc. may monitor communications to detect prohibited off-platform payments or unsafe conduct.
PART E - PENALTIES, ENFORCEMENT & MISCELLANEOUS
E1. Penalty Framework
- 1st violation: Written warning
- 2nd within six months: Temporary suspension

3rd: Permanent ban
Helprr Digital Inc. may escalate for serious violations (fraud, safety threats, etc.).
E2. Amendments & Severability
Helprr Digital Inc. may modify these Terms with notice. If any provision is found unenforceable, the remaining provisions will continue in full force. These Terms, together with the Privacy Policy and Help & Dispute Policy, constitute the entire agreement between you and Helprr Digital Inc. Failure to enforce any provision is not a waiver. Sections relating to fees, payments, IP, disclaimers, limitations, indemnities, governing law, arbitration, and survival shall remain in effect after termination.
E3. Governing Law & Contact
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.
Jurisdiction: Any dispute, claim, or legal proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the courts located in Toronto, Ontario, unless arbitration applies under Section E4. You agree to submit to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum.

E4. Arbitration; Class-Action Waiver; Small-Claims Carve-Out
Except for eligible claims in small claims court, any dispute arising from or relating to the Platform will be resolved through binding individual arbitration administered by a reputable arbitration provider seated in Ontario. Class, collective, or representative actions are not permitted. You may opt out of arbitration within 30 days of creating your account by emailing support@helprr.co with your name and the subject line “Arbitration Opt-Out.”
E5. Force Majeure
Helprr Digital Inc. is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, government actions, network outages, labour disputes, or changes in law.
E6. Assignment
You may not assign or transfer these Terms without Helprr’s prior written consent. Helprr Digital Inc. may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of assets.
ACCEPTANCE
By creating an account, posting or accepting a Task, or using the Platform, you confirm that you have read and understood these Terms, and consent to the collection and use of your information as described in the Privacy Policy.
